Head of Equity Administration

The Head of Equity Administration will lead OpenAI’s global equity operations, serving as the strategic and operational owner of all equity administration activities. This leader will be responsible for scaling a complex, bespoke equity structure to meet the demands of hypergrowth, upcoming recapitalization, and any future liquidity or corporate events.

This is a critical leadership role for a dynamic and experienced operator who can drive rigor, compliance, and innovation across a highly visible and uniquely structured equity program. The role will begin with two direct reports, with the expectation to grow the team in line with company complexity.

Key Responsibilities

Program Leadership & Administration

  • Own and operate OpenAI’s equity administration lifecycle across profit participation units, restricted membership units, restricted stock units, and other bespoke equity instruments.

  • Develop and oversee all equity system processes, including cap table management, employee grants, vesting schedules, and terminations.

  • Maintain and enhance operational workflows in Shareworks (or future systems), ensuring accuracy and compliance at scale.

Compliance & Reporting

  • Ensure compliance with Rule 701, Section 409A, ASC 718, and global securities and tax regulations governing equity issuance and treatment.

  • Lead audit and financial reporting readiness for equity-related disclosures and work cross-functionally on reconciliations and tie-outs.

  • Anticipate and mitigate risks across the equity lifecycle, particularly as they relate to recapitalization, M&A, and other corporate events.

  • Maintain governance protocols for plan documents, board-approved grants, and delegation authority.

  • Monitor and advise on compliance implications related to recapitalizations, M&A, and potential public company readiness efforts.

Strategic Program Development

  • Translate complex equity concepts for executive and board audiences to support major decisions around design, execution, and strategic alignment of the equity program.

  • Support corporate restructurings, recapitalization, and cross-border expansion with insight into equity administration implications.

  • Develop frameworks to evaluate and administer alternative instruments (e.g., incentive options, phantom equity) aligned with OpenAI’s goals.

Cross-Functional Partnership

  • Serve as the central liaison between Finance, Legal, People, and Strategic Finance on all matters related to equity administration.

  • Partner with Legal and external counsel to stay ahead of regulatory developments and ensure appropriate disclosures and filings across jurisdictions.

  • Align with People on employee experience, international mobility, and education around equity offerings.

Team Building & Scalability

  • Lead and scale a high-performing equity administration team, fostering operational excellence and a proactive service orientation.

  • Drive process improvements and scalable infrastructure to support future company stages, including public company readiness preparation.

  • Create repositories and knowledge bases that scale alongside the business and reduce reliance on institutional knowledge.
